The Karnataka Industrial Areas Development Board (KIADB) has issued a significant directive to Embassy East Business Park Ltd (EEBPL), a subsidiary of Embassy Developments Ltd, ordering the return of approximately 78 acres of land in Bengaluru’s Kadugodi Industrial Area. The directive requires the company to surrender possession within 30 days from March 16, 2026, marking a major development in the city’s industrial real estate landscape.

The land in question was originally allotted to EEBPL under a lease-cum-sale agreement signed in June 2007. As per the agreement, the lease remains valid until June 2029. The parcel forms part of a larger business park and industrial development project being undertaken by the Embassy Group, one of India’s prominent real estate developers.

KIADB’s action is based on alleged violations of the lease agreement. The board has invoked Section 34B of the Karnataka Industrial Areas Development Act, 1966, which empowers it to cancel allotments or reclaim land in case of non-compliance. According to KIADB, EEBPL entered into multiple memoranda of understanding (MoUs), agreements, and agreements to sell portions of the allotted land without obtaining prior approval from the board. Such transactions, the authority claims, are in direct violation of the lease conditions, which clearly prohibit subleasing, transferring, or dealing with the land without explicit consent.

In response, Embassy Developments has acknowledged receipt of the order through stock exchange filings, in line with regulatory requirements for listed entities. However, the company has strongly denied the allegations. EEBPL has stated that any sub-lease arrangements were executed only after obtaining No Objection Certificates (NOCs) from KIADB, as required under the lease terms.

The company has further clarified that agreements for sale did not result in an actual transfer of ownership rights. Instead, these agreements were conditional, subject to obtaining necessary approvals, including the execution of sale deeds by KIADB itself. According to Embassy, these steps were taken to ensure timely project execution and operational efficiency.

Additionally, EEBPL has raised concerns over procedural lapses, alleging that KIADB failed to adequately consider its previous submissions before issuing the directive. The company has indicated that this may constitute a violation of the principles of natural justice.

As things stand, the 30-day deadline puts pressure on Embassy to act swiftly. The company is expected to explore legal remedies, which may include approaching the Karnataka High Court for interim relief or a stay on the order. The outcome of any legal proceedings will be crucial in determining the future of the project and the land parcel.

This development highlights the increasing regulatory scrutiny in industrial and commercial real estate, particularly regarding land use compliance and adherence to lease conditions. It also underscores the importance of transparent dealings between developers and regulatory authorities.
